Bologna, 21 ottobre 2021 - IGD SIIQ S.p.A ("IGD") comunica di aver siglato con ICG's Sale & Leaseback Fund ("ICG") un accordo avente ad oggetto la cessione di un portafoglio di ipermercati e supermercati c.d. "stand alone" per un valore pari a 140 milioni di euro, in linea con il book value al 30 giugno. L'operazione verrà finalizzata entro il 25 novembre 2021.

Si tratta di un portafoglio composto da 5 ipermercati (ubicati a Livorno, Schio, Lugo, Pesaro e Senigallia) e 1 supermercato (a Cecina), che genera ca. 7,7 milioni di euro di ricavi d'affitto annui netti, con contratti di lunga durata.

Tutti gli immobili ceduti sono c.d. "stand alone", quindi non collegati a gallerie di proprietà IGD, in questo modo confermando la strategia del Gruppo di prediligere la piena proprietà del centro commerciale (galleria + ipermercato), che consente maggiore flessibilità e velocità nel rispondere ai cambiamenti del contesto e alle necessità degli operatori.

ICG e IGD costituiranno un fondo di investimento immobiliare chiuso (REIF di diritto italiano) gestito da Savills Investment Management SGR S.p.A., in cui verranno apportati gli immobili, e del quale ICG deterrà il 60% delle quote e IGD il restante 40%, con l'obiettivo di valorizzare ulteriormente il portafoglio nei prossimi anni e venderlo sul mercato alle migliori condizioni possibili.

Al netto della quota reinvestita nel fondo, IGD incasserà dalla cessione ca. 112 milioni di euro al momento del closing, previsto nel quarto trimestre 2021. La transazione è condizionata all'ottenimento di un finanziamento per almeno il 50% del valore degli asset.

La dismissione del portafoglio era già prevista nel Piano Strategico 2019-2021 ed è finalizzata alla riduzione della leva finanziaria del Gruppo, con il Loan to Value che risulterebbe pro-forma al 30 giugno pari al 46,7%, in calo di 2,4 punti percentuali e previsto in ulteriore miglioramento a fine anno grazie alla positiva generazione di cassa attesa nel secondo semestre; inoltre consente al Gruppo, unitamente alla liquidità disponibile (pari a ca. 44 € mln al 30/06/2021), di avere le risorse per coprire già quasi interamente le scadenze finanziarie del 2022.

Questa operazione è stata portata a termine in un periodo contraddistinto da diversi segnali positivi di recupero per il portafoglio IGD. In particolare, gli ultimi dati indicano che nel mese di agosto le vendite degli operatori nelle gallerie italiane del Gruppo hanno superato del 3,7% il livello dell'agosto 2019.

Inoltre, è da sottolineare il riscontro positivo ottenuto da Fitch Ratings, che ha confermato il rating Investment Grade BBB- modificando l'outlook da Negative a Stable; la revisione dell'outlook si basa sulla migliorata visibilità dei redditi da locazione, favorita dalla graduale ripresa degli ingressi e delle vendite dei tenants nei centri commerciali di IGD, come sopra detto.

"Siamo molto soddisfatti di questa operazione che conferma la qualità dei nostri asset, ceduti ai valori di perizia del giugno scorso" ha dichiarato Claudio Albertini, Amministratore Delegato di IGD "Come già affermato in passato, i proventi della dismissione ci permettono di ridurre sensibilmente il Loan To Value e di ottenere risorse finanziarie a copertura delle future esigenze a tutto il 2022; ipotizzando non ci siano nuove restrizioni legate a un peggioramento del quadro sanitario, anche alla luce dei buoni andamenti operativi e delle prospettive per i prossimi mesi, riteniamo che si siano creati i presupposti per tornare a distribuire nel 2022 un dividendo ai nostri azionisti, come auspicavamo"
