DIMISSIONI DI UN AMMINISTRATORE / RESIGNATION OF A DIRECTOR

S. Ilario d'Enza (RE), 26 luglio 2021 - Interpump Group S.p.A. comunica che il Consigliere di Amministrazione Ing. Victor Gottardi, eletto dall'Assemblea Azionisti del 30 aprile 2020, tratto dalla lista di maggioranza presentata da Gruppo IPG Holding S.p.A., non avente qualifica di consigliere indipendente né membro di alcun comitato endoconsiliare, ha rassegnato le proprie dimissioni, motivandole con la necessità di dedicarsi pienamente al suo nuovo e importante impegno professionale e imprenditoriale.

L'Ing. Gottardi ha dichiarato: "Ringrazio per il percorso svolto insieme fin qui, auspico e sono certo che continuerà il successo della vostra straordinaria impresa".

Il Presidente del Consiglio di Amministrazione, Dott. Fulvio Montipò, ha ringraziato l'Ing. Gottardi per il suo contributo a favore della società, per il suo stile e per la correttezza consumata nell'esercizio della funzione.

Il Consiglio di Amministrazione procederà immediatamente alla sostituzione mediante cooptazione - ai sensi dell'Art. 13 dello Statuto e dell'Art. 2386 del Codice Civile. Si precisa che non è prevista alcuna indennità collegata alla cessazione dalla carica dell'Ing. Gottardi, che ha dichiarato, conformemente alle risultanze in possesso della Società, di non detenere azioni di Interpump Group S.p.A.

Sant'Ilario d'Enza, 26 July 2021 - Interpump Group S.p.A. announces that Mr. Victor Gottardi, a non- independent Director nominated by the Shareholders' Meeting of 30 April 2020, a representative of the majority list presented by Gruppo IPG S.p.A. and not a member of any Board committee, has handed in his resignation as Company director, motivated by his involvement in a new and significant professional and entrepreneurial endeavour.

Mr. Gottardi commented: "I am thankful for the path we shared so far; I wish - and I am certain - that the success of your extraordinary enterprise will go on"

The Chairman of the Board Mr. Fulvio Montipò thanked Mr. Gottardi for his contribution to the Company, for his style and the correctness demonstrated in the exercise of his function.

The Board will proceed to an immediate substitution by co-optation - pursuant to Art. 13 of the Company Bylaws and Art. 2386 of the Italian Civil Code. The Company confirms that there are no indemnities or benefits connected to Mr. Gottardi's termination of office. Mr. Gottardi, in accordance to the company records, also confirmed he does not hold any shares of Interpump Group S.p.A.
