B. Lee McGee

Prior to joining Sterling, Mr. McGee worked for Laureate Education, Inc. (formerly Sylvan Learning Systems, Inc.) from 1987 until February 2005.
He was CFO from 1987 - 2000.
In this position he was responsible for completing a private equity offering in 1991, the initial public offering in 1993 and several follow-on offerings.
He also led the acquisition team on multiple investments for Laureate/Sylvan both domestically and abroad.
This included negotiation with sellers, managing the due diligence and transitioning the acquisition.
In 2000, he led the team that sold Sylvan's Prometric Testing Division to Thomson Learning for $750 million.
From 2000-2003 he was EVP and CFO of Sylvan Ventures ($400 million Venture Capital fund controlled by Sylvan).
He was responsible for the legal, financial and treasury administration.
Additionally, he managed the due diligence, negotiation and investment management of several equity deals.
From 2003 to 2005, he was EVP for Domestic Business Development.

McGee was employed with Kinder-Care Learning Centers, Inc. from 1981 through 1987.
He held various positions in finance, including Assistant Controller, and was a Regional Vice President of Operations for two years.
Prior to joining Kinder-Care, he worked for Peat, Marwick, Mitchell (KPMG) from 1978 through 1981, where he obtained his CPA.
Mr. McGee graduated from the University of Alabama with a BS in Accounting.
Mr. McGee continues to serve on Laureate's Walden University Board.
In addition, he serves on the Board of the Dingman Center for Entrepreneurship (part of the R.H.
Smith School of Business at the University of Maryland) and the Board of Emerging Technology Centers in Baltimore.
