Prosegue il trend di positivo sviluppo del Gruppo, che accresce l'affermazione dei suoi prodotti a marchi proprietari sui mercati internazionali e nazionali incrementando i volumi di vendita su tutti i canali presidiati: grande distribuzione e diretto.

Milano, 15 settembre 2020 - Il Consiglio di Amministrazione di Italian Wine Brands S.p.A., riunitosi in data odierna, ha esaminato e approvato la relazione finanziaria semestrale consolidata al 30 giugno 2020, redatta ai sensi del Regolamento Emittenti AIM Italia/Mercato Alternativo del Capitale, ed in conformità ai principi contabili internazionali IFRS.
La Relazione semestrale consolidata del Gruppo IWB al 30/06/20, redatta secondo i principi contabili internazionali IFRS, evidenzia i seguenti valori (in migliaia di €):

I costi non ricorrenti sono ascrivibili a: i) costi per servizi pari a Euro 57 migliaia relativi a consulenze legali afferenti all'operazione di acquisizione di Raphael Dal Bo AG da parte di Provinco Italia S.p.A., ii) costi del personale pari a Euro 186 migliaia relativi agli oneri sostenuti per il licenziamento di n. 1 dirigente della controllata Giordano Vini S.p.A. rimasto in organico fino a marzo 2020, iii) altri costi operativi pari a Euro 274 migliaia relativi alla chiusura di una posizione creditoria legata a un contratto di barter pubblicitario del 2016.
Ricavi delle vendite
Nel corso del primo semestre del 2020 il fatturato consolidato di gruppo ha raggiunto Euro 92,2 milioni, valore in sensibile e consistente crescita rispetto agli Euro 70,1 milioni del primo semestre 2019 (+Euro 22,1 milioni, +31,5% sul 2019, tasso composto di crescita 2018-2020 pari a +14,8%).
Tale risultato è stato ottenuto in larga misura grazie allo sviluppo organico delle attività del gruppo (+Euro 16,9 milioni) e in parte grazie all'acquisizione di Raphael Dal Bo AG perfezionata a inizio 2020 (+Euro 5,2 milioni).
La dinamica delle vendite è stata caratterizzata da un ulteriore, da sempre costante, rafforzamento del Gruppo sui mercati internazionali dove sono stati realizzati Euro 72,6 milioni (+33,4% sul 2019, tasso composto di crescita 2018-2020 pari a +16,1%) e da uno sviluppo positivo del mercato domestico, dove sono stati realizzati Euro 19,3 milioni (+25,6% sul 2019, tasso composto di crescita 2018-2020 pari a +10,8%).

Il canale distributivo wholesale si conferma il principale contributore di ricavi del gruppo anche nel corso del primo semestre del 2020 arrivando a rappresentare il 54,9% dei ricavi di vendita complessivi (53,3% nel 2019, 50,3% nel 2018). La crescita è stata costante e solida nel corso del periodo 2018-2020 con un CAGR del 19,9%. Nello specifico il CAGR riferito alla crescita organica delle attività del gruppo è stato pari al 13,6% mentre l'acquisizione di Raphael Del Bo ha contribuito per il rimanente 6,3%.
Tali importanti risultati di crescita sono stati ottenuti principalmente grazie:
- all'ampliamento ed estensione della gamma del portafoglio prodotti a marchio proprio, che rappresentano oggi oltre il 90% delle vendite del canale e che rendono l'offerta commerciale del Gruppo IWB appetibile, riconosciuta sul mercato e sinonimo di qualità;
- all'acquisizione di nuovi accounts, effettuata sostanzialmente su ogni singolo paese in cui opera il Gruppo;
- all'aumento della quota di mercato delle vendite su accounts esistenti grazie a ottimi parametri di rotazione dello shelf dei propri clienti;
- alla crescita per linee esterne (acquisizione di Raphael Dal Bo AG e Raphael Dal Bo S.r.l.).
Nel corso del primo semestre 2020, le vendite del canale distance sellingsono significativamente cresciute
(+27,3%) grazie in particolare alle vendite on-line pari a circa Euro 11,9 milioni (+113,6% rispetto al primo semestre 2019, CAGR 18/20 del 61,4%).
Marginalità
La marginalità operativa del Gruppo è aumentata significativamente rispetto agli anni passati. L'Ebitda Restated del primo semestre 2020 ha raggiunto in particolare Euro 10,7 milioni (11,5% sui ricavi delle vendite e altri ricavi) e si confronta con un Ebitda Restated 2019 di Euro 7,3 milioni (10,3% sui ricavi delle vendite e altri ricavi).
Tale risultato è stato in particolare raggiunto grazie:
- al mantenimento di una buona redditività a livello di primo margine dettata da una stabilità dei prezzi di vendita e dei costi di acquisto di uve, mosti e vini sfusi;
- al crescente appeal dei prodotti a marchio proprio che hanno espresso marginalità sensibilmente superiori rispetto ai prodotti entry level;
- all'ulteriore contenimento dei costi commerciali variabili e dei costi fissi di struttura delle società operative del Gruppo, realizzato anche a fronte di una sensibile crescita del volume di attività.
Il risultato netto di Gruppo del primo semestre 2020 è pari a Euro 5,3 milioni, sensibilmente superiore agli Euro 2,7 milioni del 2019.
Posizione Finanziaria Netta
L'indebitamento finanziario di gruppo al 30 giugno 2020 è pari a Euro 20,1 milioni di cui Euro 10,7 milioni relativi alle passività per i diritti d'uso derivanti dall'applicazione dello IFRS 16, ed Euro 9,4 milioni relativi a indebitamento finanziario netto verso terzi. Tale ultimo importo è in ulteriore riduzione rispetto agli Euro 9,9 milioni del 30 giugno 2019, nonostante il completamento dell'acquisizione di Raphael Dal Bo AG e controllate che ha generato un esborso complessivo pari a CHF 9,5 milioni.
Situazione individuale della capogruppo IWB S.p.A.
La capogruppo IWB S.p.A. evidenzia un risultato netto positivo pari a Euro 9,1 milioni (di cui Euro 9,2 milioni derivanti dal dividendo 2019 deliberato dalla controllata Provinco Italia S.p.A.) e una liquidità netta pari a Euro 30,2 milioni.
La relazione finanziaria consolidata al 30 giugno 2020 sarà messa a disposizione del pubblico nei termini e con le modalità previste nel Regolamento Emittenti AIM Italia, nonché sul sito internet di IWB www.italianwinebrands.it, alla sezione Investor Relations - Documenti Finanziari.

Aggiornamento circa le ripercussioni del Covid-19 sulle attività del Gruppo.
- L'attività del Gruppo rientra tra quelle definite essenziali nell'ambito della gestione dell'emergenza sanitaria e non si registrano criticità nel rispetto dei tempi di consegna da parte di fornitori e nei servizi logistici. Per quanto riguarda l'attività commerciale, il canale della grande distribuzione organizzata, delle vendite dirette e on line è sempre stato pienamente operativo.
- Il Gruppo ha fatto limitato e circoscritto ricorso ad ammortizzatori sociali tra quelli messi a disposizione dalle Autorità nell'ambito dell'emergenza Covid-19.
- Il Gruppo non prevede ripercussioni sulle performance economico-finanziare per il 2020, come già dimostrano i dati del primo semestre.

Non-recurring costs were due to: i) service costs of €57 thousand for legal advice within the framework of the acquisition of Raphael Dal Bo AG by Provinco Italia S.p.A., ii) personnel costs of €186 thousand relating to the costs incurred for the dismissal of a manager at the subsidiary Giordano Vini S.p.A. who remained on the payroll until March 2020, iii) other operating costs of €274 thousand relating to the closing of a credit position linked to
an advertising barter contract in 2016.
Revenue from sales
During the first half of 2020 the Group's consolidated revenues reached €92.2 million, a significant and consistent increase compared to €70.1 million in the first half of 2019 (+€22.1 million, +31.5% compared to 2019, compound annual growth rate for 2018-2020 equal to +14.8%).
This result was largely the fruit of the organic development of the Group's business (+€16.9 million) and partly of the acquisition of Raphael Dal Bo AG, which was completed at the beginning of 2020 (+€5.2 million).
The trend in sales saw a further, constant consolidation of the Group on international markets where sales amounted to €72.6 million (+33.4% compared to 2019, compound annual growth rate for 2018-2020 equal to +16.1%) and growth on the domestic market where sales totalled €19.3 million (+25.6% compared to 2019, compound annual growth rate for 2018-2020 equal to +10.8%).

The wholesale distribution channel became the Group's main source of revenues also in the first half of 2020, accounting for 54.9% of total revenues from sales (53.3% in 2019, 50.3% in 2018). Growth was constant and solid over the 2018-2020 period with a CAGR of 19.9%. Specifically, the CAGR, in relation to the organic growth of the Group's business, was 13.6% while the acquisition of Raphael Del Bo contributed the remaining 6.3%.
These significant growth results have been achieved mainly through:
- the expansion and extension of the own brand product portfolio, which today accounts for over 90% of the channel's sales and which makes the IWB Group's commercial offering attractive, recognised on the market and synonymous with quality;
- the acquisition of new accounts, essentially in each country in which the Group operates;
- an increase in the market share of sales from existing accounts thanks to excellent stock rotation parameters of its customers;
- growth through external lines (acquisition of Raphael Dal Bo AG and Raphael Dal Bo S.r.l.).
During the first half of 2020, sales in the distance sellingchannel grew significantly (+27.3%) thanks in particular to online sales of approximately €11.9 million (+113.6% compared to the first half of 2019, CAGR 18/20 of 61.4%).
EBITDA margin
The Group's operating margins grew significantly compared to previous years. In particular, restated EBITDA in the first half of 2020 reached €10.7 million (11.5% of revenue from sales and other revenues), compared to a Restated EBITDA in 2019 of €7.3 million (10.3% of revenue from sales and other revenues).
This result was achieved in particular as a result of:
- the maintenance of good profitability at primary margin level dictated by stable sales prices and purchase costs for grapes, must and bulk wines;
- the growing appeal of own-label products, which have recorded significantly higher margins compared to entry level products;
- the further curbing of the variable commercial costs and fixed overheads of the Group's operating companies, achieved also with a significant growth in the business volume.
The Group's net profit for the first half of 2020 was €5.3 million, significantly higher than the €2.7 million recorded in 2019.
Net Financial Position
The Group's financial debt at 30 June 2020 amounted to €20.1 million, of which €10.7 million for liabilities for rights of use deriving from the application of IFRS 16, and €9.4 million relating to net debt with third parties. The latter amount decreased further from the €9.9 million at 30 June 2019, despite the completion of the acquisition of Raphael Dal Bo AG and subsidiaries that generated a total outlay of CHF 9.5 million.
Specific situation of the parent company IWB S.p.A.
The parent company IWB S.p.A. recorded a profit of €9.1 million (€9.2 million from the 2019 dividend approved and distributed by the subsidiary Provinco Italia S.p.A.) and net liquidity of €30.2 million.
The consolidated financial report at 30 June 2020 will be made available to the public in accordance with the terms and conditions set out in the AIM Italia Issuers' Regulations, as well as on the IWB website www.italianwinebrands.it, in the Investor Relations - Financial Documents section.
Alessandro Mutinelli, Group Chairman and CEO, declared: "We recorded the best results in the history of the IWB Group during this six-month period. All of our sales channels have grown and we made the first major acquisition with the Swiss company Raphael Dal Bo AG. The Covid-19 global pandemic is a challenge that our people are facing with an awareness of the risks and opportunities, with the passion of those who believe in the value of their work and customer service. We have never stopped investing in people, in product and process innovation, in creating value through our brands and in adapting to changing market conditions. The results achieved, the many development projects in progress, the cohesion and strength of our team are also a good omen for the months to come."
Update on the impact of Covid-19 on the Group's business.
- The Group's business is among those defined as essential in the management of health emergencies and there are no critical issues concerning delivery times by suppliers and logistics services. As regards commercial activity, the large retail chain and direct and online sales channels were always fully operational.
- The Group has made limited and targeted use of the temporary redundancy schemes made available by the government during the Covid-19 emergency.
- The Group does not expect any impact on its economic and financial performance in 2020, as the figures for the first half of the year already show.
