Pescarolo ed Uniti (CR), 27 marzo 2024 - Lindbergh S.p.A. (EGM:LDB), gruppo attivo in Italia e Francia nel settore MRO (Maintenance Repair and Operations) per l'offerta di servizi di logistica per le reti di assistenza tecnica e nel settore del Waste Management - Circular Economy, rende noto che, con riferimento alle operazioni di acquisizione dei rami d'azienda di Alberti Sas e RCR Srl di cui al comunicato stampa del 7 marzo 2024, in data odierna è avvenuto il closing delle operazioni secondo quanto previsto in sede di accordo preliminare.

Lindbergh, attraverso la propria controllata Smit Srl, ha costituito due newco (Alberti Srl e RCR Srl) partecipate al 100%, nelle quali sono stati conferiti i rami d'azienda rispettivamente di Alberti Sas e RCR Impianti Tecnologici Srl. Il valore totale delle due operazioni è pari a € 577.000, di cui € 325.000 a titolo di avviamento, € 127.000 per l'acquisto delle attrezzature e immobilizzazioni e € 125.000 per le rimanenze di merci.

Si segnala che l'operazione non è da considerarsi significativa ai sensi dell'art. 12 del Regolamento Emittenti Euronext Growth Milan.

THE BUSINESS UNITS OF ALBERTI SAS AND RCR IMPIANTI

TECNOLOGICI SRL

Pescarolo ed Uniti (CR), 27 March 2024 - Lindbergh S.p.A. (EGM:LDB), a group that operates in the MRO (Maintenance Repair and Operations) sector in both Italy and France, providing logistics services for technical support networks and in the Waste Management - Circular Economy sector, announces that the transactions for the acquisition of the business units of Alberti Sas and RCR Srl referred to in the press release of 7 March 2024 were completed today as envisaged in the preliminary agreement.

Through its subsidiary Smit Srl, Lindbergh set up two newco's (Alberti Srl and RCR Srl), both wholly owned subsidiaries, to which the business units of Alberti Sas and RCR Impianti Tecnologici Srl, respectively, were transferred. The total value of the two transactions amounted to €577,000, including €325,000 for goodwill, €127,000 for the purchase of equipment and fixed assets, and €125,000 for goods inventories.

It is reported that the transaction is not considered relevant pursuant to Article 12 of the Euronext Growth Milan Issuers' Regulation.
