Continua la strategia del Gruppo di costituire la prima realtà industriale italiana in grado di erogare servizi di assistenza tecnica e installazione nel settore della termoidraulica su tutto il territorio nazionale

Pescarolo ed Uniti (CR), 7 marzo 2024 - Lindbergh S.p.A. (EGM:LDB), Gruppo attivo in Italia e Francia nel settore MRO (Maintenance, Repair and Operations) per l'offerta di servizi di logistica per le reti di assistenza tecnica e nel settore waste management/circular economy, comunica di aver concluso, per il tramite della controllata SMIT Srl, un accordo per l'acquisizione di due rami d'azienda rispettivamente della società "Alberti Sas" e della società "RCR Impianti Tecnologici Srl", facenti capo alla "Famiglia Alberti" e operanti da oltre 30 anni nell'assistenza e installazione di impianti termici e termoidraulici nel basso Veneto.

Questa Operazione si inserisce nella linea strategica del Gruppo volta a costituire mediante la controllata SMIT la prima realtà industriale italiana in grado di erogare servizi di assistenza tecnica e installazione, nel settore della termoidraulica, su tutto il territorio nazionale. Con questa operazione infatti SMIT arriverà a controllare direttamente 40 tecnici (per effetto di un incremento previsto di circa 10 tecnici), con un aumento di fatturato previsto per circa Euro 1,5 milioni su base annua.

Con sede a Verona, le due società sono attive nella costruzione, riparazione, manutenzione ed assistenza e installazione di impianti idrotermosanitari, caldaie, impianti idraulici, termoidraulici e impianti di condizionamento e climatizzazione. Le due società hanno realizzato, al 31 dicembre 2023, un fatturato aggregato pari a circa Euro 1,5 milioni con un EBITDA pari a circa Euro 140 mila.

Matteo Vaccari, Amministratore di SMIT, dichiara: "Abbiamo fortemente voluto la chiusura di questa trattativa. Entriamo in una regione molto importante come il Veneto. Grazie ad una radicata e duratura presenza sul territorio delle due società, faremo leva sull'esperienza delle persone per ampliare il nostro raggio d'azione e per consolidare la nostra quota di mercato. L'attuale amministratore resterà in azienda e ci aiuterà attivamente nello sviluppo dei nostri progetti di ottimizzazione e crescita".

Dettagli dell'operazione

L'Operazione, il cui closing è previsto entro la fine del mese di marzo 2024, avverrà tramite la costituzione di due NewCo, partecipate al 100% da SMIT Srl, a cui le due società (Alberti Sas e RCR Impianti Tecnologici Srl) conferiranno i rispettivi rami d'azienda dediti alle attività di business, scorporando tutte quelle attività non necessarie al conseguimento dell'oggetto sociale. SMIT acquisirà i due rami d'azienda per un valore totale di

• 577.000, di cui € 325.000 a titolo di avviamento, € 127.000 per l'acquisto delle attrezzature e immobilizzazioni, € 125.000 per le rimanenze di merci. Le newco si faranno carico dei debiti verso i dipendenti per € 89.000, che quindi verranno detratti dall'importo totale da versare.

Pertanto, la somma da versare, pari ad € 488.000 verrà corrisposta per cassa, in particolare per un ammontare pari a € 20.000 in data odierna, € 187.000 al closing e i restanti € 281.000 suddivisi in 24 rate mensili per un importo mensile di € 11.708.

Si segnala che l'Operazione non è da considerarsi significativa ai sensi dell'art. 12 del Regolamento Emittenti Euronext Growth Milan.

AGREEMENT SIGNED FOR THE PURCHASE OF THE BUSINESS UNITS OF TWO TECHNICAL SUPPORT

AND INSTALLATION CENTRES IN VERONA

The Group's strategy of establishing the first Italian industrial organisation capable of providing technical support and installation services in the plumbing and heating sector throughout Italy continues

Pescarolo ed Uniti (CR), 7 March 2024 - Lindbergh S.p.A. (EGM:LDB), a Group that operates in the MRO (Maintenance, Repair and Operations) sector in Italy and France, providing logistics services for technical support networks and in the waste management/circular economy sector, announces that, through its subsidiary SMIT Srl, it has signed an agreement for the purchase of two business units of the companies "Alberti Sas" and "RCR Impianti Tecnologici Srl", belonging to the "Alberti family", both of which have been operating for over 30 years in supporting and installing plumbing and heating systems in the lower Veneto region.

This transaction is part of the Group's strategy of establishing, through its subsidiary SMIT Srl, the first Italian industrial organisation intended to provide technical support and installation services in the plumbing and heating sector throughout Italy. As a result of this transaction, SMIT will directly control 40 engineers (due to an expected increase of about 10 engineers), with an expected increase in turnover of about €1.5 million on an annual basis.

Based in Verona, the two companies operate in the construction, repair, maintenance and service and installation of plumbing systems, boilers, heating and air-conditioning systems. As of 31 December 2023, the two companies had an aggregated turnover of around €1.5 million with an EBITDA of around €140,000.

Matteo Vaccari, Director of SMIT, states: "We were determined to complete this negotiation. We are now entering the very important region of Veneto. Thanks to the deep-rooted and long-lasting presence of the two companies in the area, we will leverage the experience of our people to expand our reach and consolidate our market share. The current director will remain with the company and will play an active role in helping us to develop our optimisation and growth projects".

Details of the transaction

The Transaction, which is expected to close by the end of March 2024, will involve the establishment of two NewCo's, 100% owned by SMIT Srl, to which the two companies (Alberti Sas and RCR Impianti Tecnologici Srl) will transfer their respective business units dedicated to business activities, spinning off all those activities that are not necessary to achieve the corporate purpose. SMIT will acquire the two business branches for a total of €577,000, including €325,000 for goodwill, €127,000 for the purchase of equipment and fixed assets, and €125,000 for merchandise inventories. The NewCos will take over the debts owed to employees in the amount of €89,000, which will then be deducted from the total amount to be paid.

Therefore, €488,000 price will be paid in cash in multiple instalments: €20,000 when the preliminary deed is signed, €187,000 at the closing, and the remaining €281,000 divided into 24 monthly instalments of €11,708.

It is reported that the transaction is not considered relevant pursuant to Article 12 of the Euronext Growth Milan Issuers' Regulation.
