LINDBERGH SPA: DELIBERE DEL CONSIGLIO DI AMMINISTRAZIONE IN MATERIA DI

CORPORATE GOVERNANCE

Pescarolo ed Uniti (CR), 9 maggio 2024 - Lindbergh S.p.A. (EGM:LDB), Gruppo attivo in Italia e Francia nel settore MRO (Maintenance, Repair and Operations), comunica che si è riunito in data odierna il nuovo Consiglio di Amministrazione nominato dall'Assemblea dei soci in data 29 aprile 2024.

Sotto la guida del confermato Presidente Marco Pomè, in conformità a quanto previsto dall'art. 6-bis del Regolamento Emittenti Euronext Growth Milan, il Consiglio di Amministrazione ha preso atto del possesso dei requisiti di detenzione della carica in capo agli Amministratori e ai Sindaci e accertato - sulla base delle informazioni disponibili e delle dichiarazioni rese dal Consiglio - i requisiti del candidato Amministratore Indipendente, Carlo Alberto Carnevale Maffè.

Il Consiglio di Amministrazione ha, quindi, confermato Michele Corradi quale Amministratore Delegato di Lindbergh S.p.A., conferendogli conseguenti deleghe e poteri.

Come ultimo punto all'ordine del giorno, infine, il Consiglio di Amministrazione ha approvato la ripartizione dei compensi all'organo amministrativo ex articolo 2389, comma 3, del Codice civile.

LINDBERGH SPA: RESOLUTIONS OF THE BOARD OF DIRECTORS ON CORPORATE GOVERNANCE MATTERS

Pescarolo ed Uniti (CR), 9 May 2024 - Lindbergh S.p.A. (EGM:LDB), group that operates in the MRO (Maintenance, Repair and Operations) sector in both Italy and France, announces that the new Board of Directors, appointed by the Shareholders' Meeting on 29 April 2024, met today.

Under the guidance of the confirmed Chairman Marco Pomè, in accordance with the provisions of Article 6- bis of the Euronext Growth Milan Issuers' Regulations, the Board of Directors acknowledged that the Directors and Statutory Auditors met the requirements for holding office and ascertained - based on available information and statements made by the Board - the requirements of the Independent Director candidate, Mr Carlo Alberto Carnevale Maffè.

The Board of Directors, therefore, confirmed Mr Michele Corradi as CEO of Lindbergh S.p.A., granting him consequent proxies and powers.

Finally, as the last item on the agenda, the Board of Directors approved the allocation of compensation to the administrative body pursuant to Article 2389, paragraph 3, of the Civil Code.
