General Motors Investment Management Corp. (GMIM) is a pension fund manager headquartered in New York City. The firm was founded in 1990 and is a wholly-owned subsidiary of General Motors Asset Management Corp., a holding company that is wholly-owned by General Motors Co. (NYSE: GM). Their clients largely consist of GM-affiliated pension plans (defined benefit and defined contribution employee benefit plans, including ERISA plans), for which GMIM serves as named fiduciary for investment purposes. Other clients includes a registered closed-end investment company, a charitable organization, private investment funds, and certain other governmental and financial entities.

ClearBridge Investments LLC is a SEC-registered investment advisor headquartered in New York City. The firm is a subsidiary of Legg Mason, Inc., ultimately held by Franklin Resources, Inc. (NYSE: BEN). They were founded in 2005 as ClearBridge Advisors, which operated through Citigroup Asset Management NA, and was acquired by Legg Mason that year. They changed their name to ClearBridge Investments LLC in 2012. ClearBridge Investments provides discretionary investment management services for both institutional and retail clients. The firm also acts as adviser or sub-adviser to the ClearBridge Funds which are part of the Legg Mason family of mutual funds.
